MASTER TERMS & CONDITIONS

Who We Are

Banrox Inc. ("Banrox," "we," "us," "our") is a California-based financial technology company providing credit-building, lending-related, collections, auto brokerage, and data services. Some services are delivered with or by third-party partners, including banks and consumer reporting agencies.

Agreement to These Terms

By accessing our websites, portals, apps, or by using any Banrox product or service, you accept these Master Terms and the product-specific terms below. If a conflict exists between the Master Terms and a product-specific term, the product-specific term controls for that product.

Eligibility and Compliance

Services are available only to individuals and businesses that can lawfully enter into contracts and that pass identity, verification, and compliance checks. You agree we may approve, deny, suspend, or terminate access at our discretion consistent with applicable law.

Your Responsibilities

You promise that all information you provide is accurate and complete, and you agree to keep it updated. You agree to use the services only for lawful purposes, to protect your credentials, to notify us promptly of suspected unauthorized activity, and to comply with all applicable laws and the rules in these terms.

Account Security

You are responsible for activity on your account. We may require multi-factor authentication, impose device or IP restrictions, and lock accounts to protect you and us.

Fees and Billing

You agree to pay the fees disclosed for each product. Fees may be billed by us or by our partners. Unless prohibited by law, unpaid amounts may accrue late charges, and we may use permitted setoff or recoupment rights against amounts we owe you.

Electronic Communications and Signatures

You consent to receive records electronically and to sign electronically. You may withdraw consent at any time by contacting us; withdrawal may impact your ability to use certain services. Paper copies are available on request.

Prohibited Activities

Prohibited Uses Include:

  • Unlawful, abusive, harassing, deceptive, threatening, or fraudulent conduct
  • Scraping, reverse engineering, or security testing without permission
  • Interference with service integrity or system overloading
  • Submission of false, misleading, or unverified information

Ownership and Intellectual Property

Banrox and its licensors own all rights in the services and content. You receive a limited, revocable, non-transferable license to access and use the services. You may not copy, modify, distribute, or create derivative works except as expressly permitted.

Warranties and Disclaimers

Services are provided on an "as-is" and "as-available" basis to the maximum extent allowed by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular credit outcome, funding, score change, or third-party decision.

Limitation of Liability

To the maximum extent permitted by law, Banrox and its directors, officers, employees, and agents are not liable for indirect, incidental, consequential, special, exemplary, punitive damages, or lost profits. Our total liability for any claim is limited to the greater of the fees you paid for that product in the six months before the event or one hundred dollars.

Dispute Resolution & Arbitration

Binding Arbitration

Any dispute with Banrox will be resolved by binding arbitration under the Federal Arbitration Act before a neutral arbitrator. You and we waive any right to a jury trial or to participate in a class or representative action.

Opt-Out Available

You may opt out of arbitration within 30 days after you first agree to these terms by sending us written notice; opting out keeps all other terms in effect.

CREDIT BUILDER SUBSCRIPTION TERMS

Overview

This is a subscription service that reports your timely subscription payments to one or more consumer reporting agencies as a tradeline. It is not a loan, does not provide principal advances, and does not guarantee credit approval or a particular score outcome.

Enrollment and Eligibility

You must be at least 18, reside in the United States, complete identity verification, and pass fraud, sanctions, and compliance checks. We may deny or revoke enrollment.

Fees and Billing

Fees are disclosed at signup. You authorize recurring charges to your selected payment method. If a payment fails, you agree we may re-attempt, assess a late fee where permitted, suspend reporting, or cancel the subscription.

Reporting

We furnish accurate information to consumer reporting agencies. Late or missed subscription payments may be reported and can negatively impact your credit. Reporting may take one to three cycles to appear. Reporting frequency and bureau coverage may change.

Cancellation

You can cancel at any time through your account or by contacting us. Fees already paid are non-refundable unless required by law. Cancelling stops future charges and future reporting; it does not remove historical reporting.

No Guarantee

We do not control the models, decisions, or timing used by lenders or credit bureaus. Outcomes vary by individual profile.

CONSUMER INSTALLMENT LOANS TERMS

Overview

Terms apply when we originate or service a consumer loan. Specific loan disclosures, rates, fees, and repayment schedules are provided in your Loan Agreement. If we broker your application to another lender, the lender's terms control.

Eligibility and Verification

You must provide accurate information, authorize verification of income, employment, bank ownership, identity, and credit, and cooperate in fraud and sanctions screening.

Funding and Use of Proceeds

Funding method and timing appear in your Loan Agreement. You agree to use proceeds for lawful personal, family, or household purposes and not for prohibited activities.

Payments and Autopay

Due dates, amounts, and methods appear in your Loan Agreement. You may authorize automatic debits. You agree to maintain sufficient funds and update payment methods. Returned or late payments may incur permitted fees.

Prepayment

You may prepay at any time without penalty unless prohibited by law. Accrued interest and fees through the date of payoff still apply.

Default and Remedies

Events of default include non-payment, misrepresentation, fraud, bankruptcy, or violation of law. Remedies may include acceleration, collections, litigation or arbitration, assignment to a collection agency, or sale/transfer of the account, subject to applicable law.

Military Lending and Protections

If applicable, you receive required disclosures and protections under federal law. Covered borrowers receive the benefit of applicable rate, fee, and collection restrictions.

BUSINESS LOANS AND LINES OF CREDIT TERMS

Overview

These terms apply to credit products offered to businesses and are not for personal, family, or household use.

Representations

You represent the loan is for business purposes only, that the information provided is true and complete, and that you have authority to bind the business.

Personal Guarantee and Security

A personal guarantee, UCC-1 filing, security interest, or specific collateral may be required. You grant us the rights described in your Loan Agreement and Security Agreement.

Covenants

  • Provide financials on request
  • Maintain insurance where applicable
  • Notify us of adverse changes
  • Comply with law and limit use to lawful business purposes

Events of Default and Remedies

Defaults include non-payment, covenant breach, cross-default with other obligations to us, insolvency, material adverse change, or misrepresentation. Remedies include acceleration, setoff/recoupment to the extent permitted, enforcement of security interests, and collection actions.

Fees

Fees may include origination, draw, maintenance, late, returned-payment, wire, and third-party costs. All fees are disclosed in your Loan Agreement.

AUTO FINANCING AND AUTO BROKERAGE TERMS

Scope

Covers auto credit applications we process, direct financing we may offer, and auto brokering or dealership services where we help you locate, negotiate, or arrange vehicle transactions.

Applications and Verifications

You authorize us, dealers, and lenders to verify identity, income, employment, insurance, and credit, and to obtain and share application information for underwriting and fraud prevention.

Brokerage Services and Compensation

We may receive compensation from dealers or lenders. Amounts will be disclosed as required. Our role does not guarantee approval or any specific terms.

Prepayment

If a vehicle is delivered before financing is finalized, your transaction is conditional on final approval and funding as permitted by law. If financing is not approved or funded, the transaction may be unwound in accordance with applicable law and your signed documents.

Vehicle Condition and Disclosures

Vehicle terms, condition, warranties, and return rights come from the selling dealer or as stated in your retail installment sale contract. You are responsible for taxes, title, registration, and insurance.

LOAN BROKERAGE TERMS

Scope and Role:

We match applicants with lenders or financing providers. We are not the lender unless expressly stated. We do not guarantee approval, rates, or terms.

Authorization:

You authorize us to collect application data, share it with lenders we believe may be a fit, and receive decisions or term sheets.

Compensation:

We may be paid by you, by the lender, or by both, as disclosed.

CHECKING AND DEBIT PROGRAMS

Bank Relationship:

Deposit accounts and debit cards are issued by partner banks. The bank's Deposit Account Agreement, Cardholder Agreement, and fee schedule govern your account.

Service Role:

Banrox provides technology and customer support services and is not a bank.

Error Resolution:

Error resolution, liability, and timeframes follow the bank's agreements and applicable law.

COLLECTIONS SERVICES (B2B CLIENTS)

Scope:

If we collect debts for our clients, this section governs. We act as your contractor to collect accounts you place with us in compliance with law.

Compliance:

We comply with applicable laws for first- and third-party collections.

Fees:

Contingency fees, fixed fees, or hybrid fees are set in the Statement of Work.

CREDIT DATA & FURNISHING SUPPORT

Role:

We provide technical and compliance support for data furnishing workflows. Unless we are the creditor, you remain the furnisher of record.

Your Obligations:

You must maintain bureau credentials, policies, and controls; provide accurate Metro-2 data; resolve disputes timely.

Restrictions:

No reporting of synthetic or unverifiable identities.

API AND DEVELOPER ACCESS

Access:

We may issue API keys or sandbox access. Access is revocable at any time.

Acceptable Use:

Respect rate limits, do not scrape or cache sensitive data, do not attempt to bypass security.

Security:

Store keys securely, rotate on suspicion of compromise, and notify us immediately of incidents.

LEAD GENERATION AND MARKETPLACE

Scope:

Covers the capture, sale, and distribution of consumer or business leads initiated through Banrox properties.

Consent:

Leads are sold or shared only where the consumer requests matching or consents.

Buyer Obligations:

Buyers must honor opt-out signals, avoid reselling without compliance, and delete data on request.
